1. Introduction
Welcome to InfraOpera.
These Terms and Conditions (“Terms”) govern access to and use of the InfraOpera platform, including all associated software, applications, services, and functionalities (collectively, the “Platform”).
By accessing or using InfraOpera, you (“User”, “Client”, or “Organization”) agree to be legally bound by these Terms. If you do not agree, you must not use the Platform.
2. Nature of the Service
InfraOpera is a Software-as-a-Service (SaaS) platform that enables organizations to:

Structure workflows and operational processes

Integrate teams, contractors, and operational actors within a spatial context
InfraOpera provides the technological framework and tools to model, visualize, and manage operations.
InfraOpera does not perform physical operations, field data acquisition, or asset validation.
3. User Responsibilities
3.1 Data Acquisition and Accuracy
The User acknowledges and agrees that:

All data input into the Platform (including geospatial data, asset information, events, and operational records) is provided by the User or third parties engaged by the User

The collection, verification, accuracy, and legality of such data are the sole responsibility of the User
InfraOpera shall not be liable for:

Errors, omissions, or inaccuracies in data

Decisions made based on incorrect or incomplete information
-
Any consequences derived from faulty data input
3.2 Creation and Definition of Assets
The User is solely responsible for:

Creating, defining, and maintaining infrastructure assets within the Platform
-
Ensuring that all assets correctly represent real-world conditions
-
Structuring operational hierarchies, zones, and workflows
InfraOpera provides the tools and environment to create and manage assets, but:
InfraOpera does not create, validate, or certify assets on behalf of the User.
3.3 Operational Use
The User is responsible for:

All operational decisions executed through or based on the Platform
-
Coordination of personnel, contractors, and third parties
-
Compliance with applicable laws, regulations, and industry standards
InfraOpera is not responsible for:

Field execution
-
Safety protocols
-
Regulatory compliance of operations conducted by the User
4. Platform Availability and Performance
InfraOpera commits to:

Providing reliable access to the Platform under commercially reasonable standards

Maintaining system availability, subject to maintenance, updates, or unforeseen events
-
Preserving User data integrity within the system environment
However, InfraOpera does not guarantee:

Uninterrupted or error-free operation at all times
-
Real-time accuracy where dependent on third-party systems (GPS, connectivity, sensors, etc.)
5. Data Storage and Security
InfraOpera will:

Store User data in secure environments using industry-standard practices
-
Implement reasonable safeguards against unauthorized access
The User acknowledges that:

No system is completely immune to risks
-
The User retains responsibility for data governance and backup policies where required
6. Intellectual Property
6.1 InfraOpera Rights
All rights, title, and interest in and to the Platform, including:

Software
-
Design
-
Architecture
-
Algorithms
-
Branding and trademarks
remain the exclusive property of InfraOpera.
6.2 User Data
The User retains ownership of all data uploaded or generated within the Platform.
By using InfraOpera, the User grants a limited, non-exclusive license to:
such data solely for the purpose of providing the Service.
7. Limitation of Liability
To the maximum extent permitted by law, InfraOpera shall not be liable for:

Indirect, incidental, or consequential damages

Operational losses or disruptions

Errors arising from User-provided data

Decisions made based on Platform outputs
InfraOpera functions as a decision-support and operational management tool, not as a substitute for professional judgment or field verification.
8. Third-Party Integrations
The Platform may integrate with third-party services (e.g., mapping providers, GPS systems, data sources).
InfraOpera is not responsible for:

Availability or accuracy of third-party services

Failures or disruptions originating from such integrations
9. Service Modifications
InfraOpera reserves the right to:

10. Termination
InfraOpera may suspend or terminate access if:

Required payments are not fulfilled

MASTER SERVICE AGREEMENT (MSA)

This Master Service Agreement (“Agreement”) is entered into between:
InfraOpera (“Provider”)

2. Scope of Services
InfraOpera provides a Software-as-a-Service (SaaS) platform designed to:

The Platform is a technology enablement layer and does not constitute operational execution.
3. Nature of the Relationship

Engineering validation

Safety supervision
The Client retains full responsibility for all operational activities.
4. Client Responsibilities
4.1 Data and Information
The Client is solely responsible for:

Collection of all data uploaded to the Platform

Accuracy, completeness, and legality of such data

Use of third-party contractors for data acquisition
InfraOpera shall not verify or validate any data provided.
4.2 Asset Creation and Configuration
The Client is responsible for:

Defining all infrastructure assets

Configuring geofences, workflows, and operational logic
-
Ensuring alignment with real-world conditions
InfraOpera provides tools, not asset creation services.
4.3 Operational Decisions
All decisions based on Platform outputs are:
Made exclusively at the Client’s discretion and risk.
InfraOpera is not liable for:

Operational outcomes

Field incidents
-
Safety or compliance failures
5. Fees and Payment

Fees shall be defined in a separate Order Form / Subscription Agreement

Payments are due according to agreed terms

Late payments may result in:

Suspension of service

Restricted access
All fees are non-refundable unless otherwise stated.
6. Service Availability (SLA - Optional Tier)
InfraOpera will use commercially reasonable efforts to:

7. Data Ownership and Processing
7.1 Ownership

InfraOpera = Data Processor
InfraOpera processes data solely to provide the service.
7.3 Geolocation Data

Real-time geolocation may be processed for operational purposes

InfraOpera does not store historical location data unless explicitly agreed
8. Confidentiality
Both Parties agree to:

InfraOpera shall not be liable for:

Loss of revenue, data, or business

Total liability shall not exceed:
The total fees paid by the Client in the last 12 months.
11. Indemnification
The Client agrees to indemnify and hold InfraOpera harmless against claims arising from:

12. Third-Party Services
InfraOpera may rely on third-party providers (cloud, maps, GPS).
InfraOpera is not responsible for:
